Terms of Service

Last updated: 23 August 2026

These Terms of Service (“Terms”) govern your access to and use of Mentor, a set of AI-assisted study and practice tools for Australian secondary school subjects, provided by Vividex (ABN 35 253 374 165) trading as Mentor / Learn With Mentor (“Vividex”, “we”, “us”, or “our”) at learnwithmentor.com.au (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a school, you confirm that you have the authority to accept these Terms on the school’s behalf, and “you” in the sections addressed to a school also refers to that school. If you do not agree to these Terms, do not use the Service.

1. Two ways to use Mentor

The Service is currently offered in two distinct modes, and these Terms apply to both:

2. Eligibility and consent

Mentor is designed for use by Australian secondary school students, generally in the approximate age range covered by Years 7–10, either through a school account or under the supervision or with the knowledge of a parent, guardian, or teacher.

If you are under the age at which you can validly agree to online terms on your own behalf under the law that applies to you, you may only use the Service with the involvement of a parent, guardian, teacher, or school, and that person or institution is responsible for agreeing to these Terms for you or on your behalf. A school that provisions a student account is responsible for ensuring it has any consent required (including from a parent or guardian, where applicable) before doing so — see the Privacy Policy for more on how school accounts work.

The anonymous Practice feature does not verify a user’s age. It is intended to be used by, or with the involvement of, a parent, guardian, or teacher where the user is a child. If you are a parent or guardian and believe a child has used the anonymous Practice feature without appropriate supervision, contact us at support@learnwithmentor.com.au.

3. School accounts and roles

A school account has three roles:

A school is responsible for the accuracy of the information it provides when inviting teachers and students (including that an invited email address genuinely belongs to that person), for managing who at the school has administrator or teacher access, and for promptly telling us to remove access for a teacher or student who has left the school. We rely on the school’s own Google identity system (for example, Google Workspace for Education) to verify that a person signing in is who the school says they are — we do not independently verify a student’s or teacher’s identity beyond that.

4. Your account

There are no Mentor-specific passwords. Every role signs in using Google Sign-In, and your Mentor account is only as secure as the Google account you use to access it. You are responsible for keeping that Google account secure and for all activity that occurs under your Mentor account. Tell us immediately at support@learnwithmentor.com.au if you believe your account has been accessed without authorisation.

5. Acceptable use

You must use the Service in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. We may suspend or terminate access for conduct that breaches that policy.

6. The AI Mentor

The Service includes an AI-powered “Help Me Understand” feature (the “AI Mentor”) that generates explanations and guidance about the current question using a third-party AI model. The AI Mentor is a study aid, not a qualified teacher, tutor, or professional service of any kind, and its output can be incomplete, oversimplified, or wrong. Full detail on how the AI Mentor works and its limitations is set out in our AI Use & Limitations statement, which is incorporated into these Terms by reference. You should not treat anything the AI Mentor says as a substitute for your teacher’s instruction or for professional advice of any kind.

7. Intellectual property

The Service — including its software, design, question banks, curriculum mappings, and the Mentor name and logo — is owned by Vividex or its licensors and is protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for its intended educational purpose, for as long as these Terms remain in effect. You must not copy, scrape, resell, sublicense, or create derivative works from the Service, or reverse-engineer any part of it, except to the extent a law that cannot be excluded gives you the right to do so.

You keep ownership of any answers, working, or messages you submit through the Service (“your content”). By submitting your content, you give us a licence to store, process, and use it to operate and improve the Service — for example, to mark your answer, generate an AI Mentor response, or show your teacher your progress — for as long as we hold that content in accordance with our Privacy Policy.

8. Fees

As at the date of these Terms, Mentor is not generally available for direct individual purchase, and school access is arranged directly with us. Where a school agrees to pay for access to the Service, the fees, billing frequency, and payment terms will be set out in a separate order form or agreement with that school, which forms part of these Terms for that school. We will give reasonable notice of any change to fees that applies to an existing paying school before it takes effect for that school’s next billing period.

9. Availability and changes to the Service

Mentor is an actively developed product from a small Australian software business. We do not guarantee that the Service will be available at all times, uninterrupted, or free of errors, and we may add, change, suspend, or remove features (including the AI Mentor, specific subjects, or specific topics) at any time. Where reasonably practicable, we will give schools advance notice of a change that materially reduces the functionality they rely on.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your requirements, that question content or AI-generated explanations will always be accurate or error-free, or that use of the Service will result in any particular educational outcome.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded, restricted, or modified. Where our liability for a failure to comply with a consumer guarantee may lawfully be limited, our liability is limited, at our option, to resupplying the affected part of the Service or paying the cost of having it resupplied.

11. Limitation of liability

To the maximum extent permitted by law, and subject to clause 10 above, Vividex is not liable to you for any indirect, special, incidental, or consequential loss or damage (including loss of data, loss of profits, or loss of anticipated educational outcomes) arising out of or in connection with these Terms or the Service, even if we have been advised of the possibility of such loss.

To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with these Terms or the Service, however arising (including in contract, tort, or under statute), is limited to the total amount, if any, actually paid by you or your school to us for access to the Service in the twelve (12) months immediately before the event giving rise to the liability, or one hundred Australian dollars (AUD $100), whichever is greater.

12. Indemnity

You agree to indemnify and hold Vividex harmless from and against any claim, loss, liability, or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third party, except to the extent caused by our own negligence, wilful misconduct, or breach of these Terms.

13. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, at any time if we reasonably believe you have breached these Terms (including the Acceptable Use Policy), if required to protect the safety of a student, if required by law, or if a school’s agreement with us ends. A school may ask us to deactivate a teacher’s or student’s access at any time. On termination, the licence granted in clause 7 ends, but clauses that by their nature should survive (including clauses 10, 11, 12, 15, and 16) continue to apply.

14. Changes to these Terms

We may update these Terms from time to time, for example to reflect a change in the Service, our practices, or the law. If we make a material change, we will update the “Last updated” date above and, where practical, take reasonable steps to notify schools with an active account. Your continued use of the Service after a change takes effect means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia, and each party irrevocably submits to the non-exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from those courts.

16. General

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of it. These Terms, together with the documents they incorporate by reference (the Acceptable Use Policy, the Privacy Policy, and the AI Use & Limitations statement) and any separate written agreement with your school, form the entire agreement between you and Vividex regarding the Service.

17. Contact
